By uploading your submission (“User Submissions”) on this website for use on the Ms. JD Website, you agree to and hereby grant Ms. JD (its successors and assigns) and the operators of the Ms. JD Website a worldwide, non-exclusive (you can grant these rights to someone else as well), royalty free, perpetual, irrevocable, transferable, and sub-licensable license to use, edit, modify, copy, reproduce, distribute, transmit, broadcast, display, create derivative works of, publish, perform, adapt, and display such User Submissions on or in connection with the Ms. JD Website and for such other purposes as Ms. JD (its successors and assigns) may deem consistent with its mission, in all media formats and in all media channels now known or later developed. You also agree to grant and hereby grant each user of the Ms. JD Website a non-exclusive license to access your User Submissions through the Ms. JD Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Ms. JD Website. You are solely responsible for all of the information, statements, facts, and material contained in any User Submission you upload to this website. You also affirm, warrant and represent that (i) you own or otherwise control all of the rights in and to such User Submissions and/or have all of the necessary licenses, rights, consents and permissions to use such User Submissions as contemplated herein; (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in the User Submission to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Submissions in the manner contemplated herein; and (iii) use of such User Submissions by Ms. JD as contemplated herein will not infringe or violate the rights of any third party. You understand that Ms. JD is under no obligation and does not guarantee that it will use your User Submissions on the Ms. JD Website or otherwise. Moreover, Ms. JD does not guarantee any confidentiality with respect to any User Submissions that you upload to this website or that Ms. JD otherwise may receive from you. Ms. JD reserves the right to remove any User Submission from this website and/or the Ms. JD Website at any time, without prior notice and at its sole discretion and/or to terminate your access to this website and/or the Ms. JD Website. No compensation will be paid with respect to the use of your User Submission on the Ms. JD Website or as otherwise contemplated herein.

In connection with each User Submission you may submit, you hereby agree that you will not (i) submit any User Submission that contains any material that is subject to copyright protection, trade secret protection and/or to any other third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post such material and to grant Ms. JD, its successors and assigns and the operator and users of the Ms. JD Website all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage Ms. JD (its successors and assigns) or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business or (v) impersonate another person.
